Terms of Service

These Terms of Service ("Terms") govern your access to and use of the web-based service operated by WebResearch, Inc. ("we", "us", "our", "Company"), including but not limited to WebResearch / DDResearch (the "Service"). By accessing or using the Service, you ("you", "User", "Customer") agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Service means the WebResearch / DDResearch web application and any related functionality, features or content provided by WebResearch, Inc.
  • Content means any output generated by the Service (e.g. reports, findings, citations, summaries, documents), as well as any data, text or media derived from user input or public sources via the Service.
  • User Data means any information or material you submit to the Service (e.g. company names, target names, search inputs), including personally identifiable information (PII) if submitted.

2. Acceptable Use

  • You may use the Service only for lawful, legitimate research, due diligence or business-related purposes.
  • You will not use the Service for unlawful, fraudulent, abusive or malicious purposes — including but not limited to violation of any applicable law, regulation, or third-party rights.
  • You will not attempt to reverse-engineer, exploit, abuse or interfere with the Service, nor use the Service to build competing products.

3. Nature of Service; No Guarantee / No Legal Advice

AI-Generated Content Disclosure: In accordance with the EU AI Act (Article 50), we disclose that all reports, findings, and other outputs from the Service are generated or assisted by artificial intelligence.

The Service and all Content are provided "as is" and "as available" for reference purposes only. Content generated by the Service does NOT constitute legal, financial, or professional advice and carries NO legally binding commitments.

We will use reasonable efforts to ensure the accuracy of AI-generated outputs, but we make no warranty or guarantee regarding accuracy, completeness, fitness for a particular purpose, or non-infringement of the Content. AI-generated content may contain errors, omissions, or outdated information.

You are solely responsible for verifying any findings before acting. We do not guarantee performance, reliability, uptime, or error-free operation of the Service.

4. Intellectual Property

  • Users retain full rights to use, reproduce, modify, publish, and commercialize any Content generated by the Service.
  • WebResearch, Inc. claims no ownership over Content generated from User Data, and grants Users a perpetual, worldwide, royalty-free, transferable license to use such Content for any purpose, including commercial resale and redistribution.
  • By submitting data or inputs to the Service, you do not grant us any ownership of that data beyond what is necessary to operate the Service (see Privacy Policy).

5. Limitation of Liability

WebResearch, Inc. disclaims all liability arising from your use of or reliance on the Service or any Content.

  • To the fullest extent permitted by law, WebResearch, Inc. (and its affiliates, officers, employees, agents, suppliers) shall not be liable for any indirect, incidental, special, consequential or punitive damages — including loss of data, lost profits, business interruption, or other damages arising out of your use or inability to use the Service or reliance on any Content.
  • In no event shall WebResearch, Inc.'s total liability exceed the amount you have paid to us (if any) during the twelve (12) months immediately preceding the cause of action.
  • The foregoing limitations apply whether the claim arises under contract, tort, negligence, strict liability, or other legal theory.

6. Termination / Suspension

  • We may suspend or terminate your access to all or part of the Service at any time, for any reason. We will use reasonable efforts to provide advance notice, except in cases of abuse, fraud, or other exigent circumstances.
  • Upon termination or suspension, your rights under these Terms immediately cease; we may delete or archive your data / account according to our data retention policy (see Privacy Policy).

7. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on the Service, with a new "Last updated" date. Your continued use after posting constitutes acceptance of the updated Terms.

8. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.
  • Any dispute arising out of or related to these Terms or the Service shall be resolved in the courts located in the State of Delaware, United States.
